  1. Agreement to Terms
These Terms & Conditions (“Terms”) govern your access to and use of the website, learning platform, courses, software, tools, analytics, reporting, and related services (collectively, the “Services”) provided by AMC AMERICAN MEDICAL COMPLIANCE, Inc. (“AMC,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.  
  1. Changes to Terms
We may update these Terms from time to time. Updates become effective when posted on our website. Your continued use of the Services after updates are posted constitutes acceptance of the revised Terms.  
  1. Services
AMC provides compliance training, continuing education content, course delivery, learning management services, reporting, certification tools, and related support services. Some customers may receive services under separate agreements (e.g., enterprise agreements, reseller agreements, order forms, or statements of work). If there is a conflict between these Terms and a signed agreement, the signed agreement controls.  
  1. Eligibility
You must be at least 18 years old to use the Services. The Services are intended for professional and organizational use.  
  1. Accounts and Security
Certain Services require you to create an account. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.  
  1. Acceptable Use
You agree not to: • Use the Services for unlawful purposes • Share login credentials except as permitted by your organization or agreement • Copy, redistribute, resell, publicly display, or create derivative works from course content without authorization • Attempt to interfere with the security, integrity, or performance of the Services • Upload malware, viruses, or malicious code • Attempt unauthorized access to systems or data AMC may suspend or terminate access for violations of these Terms.  
  1. Course Content and Intellectual Property
All course content, SCORM modules, videos, graphics, text, and training materials are owned by AMC or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access the Services for internal training purposes only, subject to these Terms and any applicable agreement. Unauthorized copying, resale, redistribution, or publication of AMC content is prohibited.  
  1. Purchases, Subscriptions, and Payments
Fees, billing terms, and payment obligations are governed by the applicable order, invoice, subscription plan, or agreement. Failure to pay may result in suspension or termination of access.  
  1. Certificates and Continuing Education
Where applicable, AMC may issue completion certificates. Certificates may depend on course completion requirements, scoring, time requirements, or other criteria. AMC does not guarantee acceptance of certificates by any specific employer, board, regulator, or licensing body unless explicitly stated.  
  1. Communications (Email and SMS)
AMC may send service-related communications, including account notices, course assignments, completion confirmations, and support messages. Marketing communications are sent only where required consent is obtained. If you opt in to receive SMS text messages: • Message frequency varies • Message and data rates may apply • Reply STOP to opt out • Reply HELP for help Consent is not a condition of purchase.  
  1. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms.  
  1. Security & Compliance
AMC maintains an information security program designed to protect customer and user information. AMC has successfully completed a SOC 2 Type I examination covering the Trust Services Criteria for Security, Availability, and Confidentiality as of February 9, 2026. A SOC 2 Type I report evaluates the design of controls at a point in time and does not assess operating effectiveness over a period (SOC 2 Type II).  
  1. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AMC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AMC DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.  
  1. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMC’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID TO AMC FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. AMC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.  
  1. Indemnification
You agree to indemnify and hold harmless AMC from claims arising out of your misuse of the Services or violation of these Terms.  
  1. Termination
AMC may suspend or terminate access if you violate these Terms, if required by law, or for non-payment where applicable. Upon termination, access to Services may be revoked and data handling will follow applicable agreements and legal requirements.  
  1. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes shall be brought in state or federal courts located in Arizona.
